Project Description

This temporary position involves the preparation, negotiation and maintenance of the Company’s research agreements, including non-disclosure agreements, clinical study/trial agreements, principal investigator services agreements, and master study coordinator agreements. 

•Prepare and draft clinical research agreements and amendments 
•Incorporate unique contract terms based on the parameters of the specific transaction
•Prepare redlines of draft agreements or written correspondence to outline proposed changes following review by, and pursuant to the instructions of, the Associate General Counsel
•Assist in the preparation of new template agreements and new template language as the need arises 
•Maintain communication with various departments supplying information to ensure timely completion of all research agreements
•Prepare correspondence to terminate research agreements
•Support the Clinical Research Department in the implementation of its Research Policies 
•Respond to e-mails and phone calls in a timely manner to provide answers/information to internal departments, management, research sponsors and hospitals regarding specific research and CQI initiatives 
•Coordinate special projects regarding the research and CQI initiatives of the Company, including training presentations at conferences, and assist in related special projects for the Associate General Counsel
•Maintain files for all clinical studies and research agreement language
•Prepare status reports regarding the status of outstanding agreements 
•Analyze current processes and procedures, including work-flow patters, and provide input for greater efficiency and cost-reductions
•Conduct legal research as requested
•Assist other Legal Department personnel as requested
•Perform other related tasks as assigned

Requirements

Bachelor's degree (B. A.) from four-year college or university; or one to two years related experience and/or training; or equivalent combination of education and experience.

•Proficiency required in MS Office (Word, Access & Excel) and general office skills
•Mastery of basic practice area skills and professionalism skills
•Demonstrated level of proficiency in legal research skills commensurate with hospital contracts, if so assigned
•Able to perform daily assignments with minimal supervision
•Able to demonstrate discretion and initiative consistently
•Able to draft legal documents
•Demonstrated basic analytic skills
•Able to multi-task and delegate, when given the authority to do so
•Possess effective communication and organization skills
•Able to utilize a systematic/organized approach to complete daily tasks
•Have excellent follow up skills 
•Sensitivity to highly confidential information that should not be disclosed outside of Legal Department and maintains the confidentiality of all Company and personnel information contained in all agreements
