A company is currently seeking a temporary Paralegal (Contracts Administration). The primary purpose of this position is to provide paralegal support to attorneys negotiating complex contracts.
o Prepare, review and help negotiate new contracts and amendments.
o Independently pre-review contracts for acceptability of provisions and act as interface between business team members and attorneys alerting team and attorneys to potential issues.
o Independently draft or redraft contract provisions as requested by business team members or attorneys.
o Tracks contracts that are being negotiated. Ensure outside corporate counsel is in the loop and documents any variance to standard contracts. Assists in closing new contract transactions.
o Assists in maintenance monitoring of current agreements, including
o Prepares and disseminates information regarding contract status, compliance, modifications, deviations, and negotiations.
o Tracks contractual due dates and cancellation rights, and participates in contract dispute resolutions and related processes.
o Compiles, analyzes and maintains data on contracts
Maintain the library of templates
o Provides internal team with contract templates and customer contracts
o Assists attorneys by managing update of template process
o Maintenance of alternative clauses for template contracts
o Third Party vendor contracts
o BAA and non-disclosure agreements
o Responsible for independently performing special projects as assigned, such as contract reviews and comparisons of contracts.
o Broad review of contracts to determine presence/absence of a specific term or set of terms.
o File review to identify and capture specific information.
Paralegal degree with minimum 2+ years paralegal experience, preferably in the healthcare industry
1-3 years of experience in contract administration, including reviewing and revising a high volume of contracts
Able to read and understand contract terminology, product and service offerings, pricing terms and statements of work and other legal documents.
Demonstrated ability to work in a team environment that requires quick turnaround and quality output as well as working independently
Demonstrated negotiations skills, and experience dealing with external and internal clients.
Strong interpersonal and partnership skills.
Exceptional and clear oral and written communication skills.
Strong work ethic with the ability to complete tasks and deliverables under tight deadlines while maintaining flexibility.
Ability to adjust to changing priorities and to anticipate needs and be proactive.
Negotiation and drafting experience is also strongly preferred
Detail oriented with excellent organizational skills
Maintain confidentiality of sensitive documents and communications.
Solid knowledge of all MS Office Products.
